Sycomore Corporate Finance advises Santiane and its management team on its proposed combination with Kereis

We are pleased to announce that Kereis has entered into exclusive negotiations for the acquisition of Santiane, a leading player in wholesale brokerage and the distribution of health and protection insurance in France, thereby strengthening its development strategy and its leadership in insurance brokerage.

Founded in 2006, Santiane is a leading player in individual insurance brokerage in France, specialising in health, protection and credit insurance. The group has developed a B2B and B2C multi-channel model combining digital distribution, wholesale brokerage and technology solutions. Operating through several specialist brands and entities, Santiane serves more than 750,000 clients and is underpinned by a strong culture of innovation and customer relationships.

The proposed combination with Kereis would create a multi-specialist player combining recognised expertise in creditor insurance, health, protection, property & casualty insurance and digital distribution. Kereis is a European brokerage and services group specialising in individual insurance, with a focus on health, protection, and credit insurance.

Built on complementary activities, the combination would also diversify the group’s distribution channels, with a platform drawing on major banking and insurance partnerships, wholesale brokerage, digital and direct brokerage. It would thereby strengthen the group’s diversification, accelerate its development in high-growth segments and consolidate its position among France’s leading brokers.

The new group would notably represent:

 – Nearly 20 million clients served;

 – More than 2,000 employees;

 – A presence in 7 European countries;

 – The leading wholesale broker across the main segments of individual insurance (health, credit insurance, protection).

The combination would draw on the complementary expertise and teams of both groups, with the ambition of continuing to develop their respective know-how.

Pierre-Alain de Malleray, Chairman of Santiane Group: « This combination gives us the means to accelerate what we have been building for years, with renewed ambition: to become the benchmark group for insurance distribution in France and the champion of wholesale brokers. »

Brice Le Houérou, Chief Executive Officer of Santiane Group: « This project represents a strong opportunity to accelerate our development and strengthen our ability to offer ever more effective solutions to our partners and clients. »

In the context of the transaction, Sycomore Corporate Finance acted as exclusive financial advisor to Santiane and its management team. The Sycomore team was composed of Pierre-Arnaud de Lacharrière, Marion Pouchain, Simon Crouzevialle, Malo Grosso and Antoine Chambriard.
